Welcome to Springreview, a feedback management platform designed to help you create customizable forms to capture valuable input from your users. While we provide the tools to empower your feedback process, it is your responsibility to ensure that both the forms you create and the responses you collect comply with our guidelines. Specifically, you must ensure that prohibited content—such as spam, malware, or threats of serious harm—does not appear in your forms or submissions.

These Terms and Conditions (“Terms”) govern your access to and use of the Springreview website, including all content, services, and products made available through the website (collectively referred to as our “Services”). By accessing or using our Services, you agree to be bound by these Terms without modification, along with all other operating rules, policies (including, but not limited to, Springreview’s Privacy Policy), and procedures that we may publish or update periodically (together, the “Agreement”). You also acknowledge and agree that Springreview (“we” or “us”) may update or modify its Services, and these Terms shall govern any such updates or modifications. By using our Services, you enter into this Agreement with Springreview.

Please review this Agreement carefully before accessing or using our Services. By taking an affirmative action to indicate your agreement, such as clicking ‘I agree’ or accessing any part of our Services, you acknowledge that you have read, understood, and agreed to be legally bound by the Terms outlined in this Agreement. If you do not agree to all the Terms stated herein, you are not authorized to access or use our Services. If these Terms are deemed to constitute an offer by Springreview, your acceptance is strictly limited to the Terms set forth in this Agreement.

Our Services are not intended for children, and access to or use of our Services is only permitted for individuals who meet the minimum age requirement to provide consent as defined by the laws of their country. In most regions, this means you must be at least 13 years old, but this age may be higher depending on your jurisdiction. If you do not meet your country’s minimum age requirement, you are prohibited from registering for or using our Services. By registering as a user or providing personal information through our Services, you affirm that you meet the applicable age requirement.

To access and use our Services, you must create and maintain a Springreview account. By registering, you agree to provide accurate, complete, and up-to-date information as required. You are solely responsible for all activities conducted under your account credentials, including your username, and for maintaining the confidentiality and security of your password. Any unauthorized use or suspicious activity must be reported to us immediately. Springreview reserves the right to suspend or terminate accounts in cases of suspected violations of these Terms, unauthorized use, or any other misuse of our Services.

1. Springreview

  • Your Springreview Account and Forms. When you create a form using Springreview, you are solely responsible for maintaining the security of your account and form. You are fully accountable for all activities conducted under your account and for any actions associated with your forms. You must promptly notify Springreview of any unauthorized use of your account, your forms, or any security breaches. Springreview disclaims all liability for any acts or omissions on your part, including, but not limited to, any damages resulting from such acts or omissions.
  • Responsibility of Contributors. If you create a form, publish a post on a form, upload material to Springreview, share links, or otherwise make content available through our Services (collectively referred to as “Content”), you are solely responsible for all aspects of that Content, including any harm or liability resulting from it or your actions. This responsibility applies regardless of the nature or format of the Content, which may include, but is not limited to, text, images, videos, audio files, or code. By using Springreview, you represent and warrant that both your Content and your conduct comply with these Terms. When you submit Content to Springreview for inclusion in your form, you grant us a worldwide, royalty-free, and non-exclusive license to reproduce, modify, adapt, and publish the Content solely for the purpose of displaying, distributing, or promoting your form. If you delete Content, we will make reasonable efforts to remove it from our platform; however, you acknowledge that cached versions or references to the Content may not be immediately removed. Without limiting the foregoing, we reserve the right, at our sole discretion, to:
    1. Reclaim your form’s URL due to extended periods of inactivity.
    2. Refuse or remove any Content that violates Springreview’s policies or is deemed harmful or objectionable in any way.
    3. Terminate or deny access to our Services to any individual or entity for any reason, without any obligation to provide a refund for amounts previously paid.
    In the event we take action on your Content or account, we will notify you where legally required. These rights are exercised at our discretion, and we are not obligated to review or monitor Content.
  • Attribution. Springreview reserves the right to include attribution text or links on certain pages associated with your forms, such as error pages (e.g., when a form is not found or in case of a server error). These attributions may include phrases or hyperlinks referencing Springreview and are an integral part of our Services. Currently, attributions are displayed exclusively on error pages. If Springreview decides to extend the use of attribution to other parts of the forms or associated pages, users will be notified in advance, and the updated Terms of Service will reflect these changes. You are not permitted to modify or remove these attributions.
  • Payment and Renewal.
    • General Terms. Access to Springreview’s services is provided exclusively through a paid plan, following a 14-day free trial period. Upon payment, you gain access to the service for a full year (date to date). Payments are processed via our payment partner, Stripe.com, and are charged on a one-time, pre-pay basis. There are no recurring payments or automatic renewals.
    • Renewal and Grace Period. At the end of the one-year access period, you will have a 14-day grace period during which you may make a new payment to maintain uninterrupted access to the service. If payment is not received by the end of this grace period, your access to Springreview will be suspended until a new payment is made.
    • Refunds. Except in cases of billing errors or as required by law, payments are non-refundable. If you believe you were charged in error, please contact our support team for assistance.
    • Reactivation. If your account is suspended due to non-payment, it can be reactivated at any time by making a new payment. Reactivation will restore access to the service but does not extend the original subscription term.
    • Changes to Pricing. Springreview reserves the right to adjust its pricing in the future. Any changes to the price of our plan will not affect the current one-year term for which you have already paid.
    • Trial Period. During the 14-day free trial period, access to certain features or functionalities may be limited. At the end of the trial, continued access requires full payment.
  • Account Suspension and Data Deletion. If your account remains suspended for more than three months due to non-payment, Springreview reserves the right to permanently delete your account, including all associated data.
    • Notification Process. You will be notified via email at least 30 days before the deletion date to allow you to take any necessary actions, such as downloading your data or making a new payment to reactivate your account.
    • Backup Policy. Springreview maintains regular backups of user data for operational purposes. However, once an account and its data are permanently deleted, these backups will also be purged in accordance with our data retention policy and applicable laws.
    • Compliance with Data Protection Laws. The deletion of accounts and data complies with applicable data protection regulations, including the General Data Protection Regulation (GDPR) in the European Union, ensuring your data is handled responsibly.
    Important Note. Once your account is deleted, all associated data becomes irretrievable, including forms, responses, and analytics. Please ensure you act within the notification period to avoid unintended data loss.

2. Responsibility of Visitors

We do not review and cannot reasonably be expected to review all material, including software, posted to our Services. As such, we disclaim responsibility for the content, use, or effects of any material made available through our Services. By providing access to our Services, we neither endorse nor imply approval of any posted material, nor do we guarantee its accuracy, usefulness, or safety.

Visitors are solely responsible for taking appropriate precautions to safeguard their devices and systems against viruses, worms, Trojan horses, or other harmful or destructive content. Please note that our Services may include material that is offensive, indecent, or otherwise objectionable, as well as content containing inaccuracies, errors, or omissions. Additionally, some content may infringe on the privacy, publicity, intellectual property, or other proprietary rights of third parties or may be subject to additional terms and conditions, whether disclosed or not.

If you encounter content that you believe violates rights or laws, please notify us at hello@springreview.com. We will review and address such reports in accordance with applicable laws.

We expressly disclaim liability for any harm resulting from a visitor's use of our Services, including any harm caused by downloading content available on our platform.

3. Content Posted on Other Websites

We do not review, and cannot reasonably be expected to review, all materials, including software, available on websites or webpages linked to or from Springreview. These external websites are beyond our control, and we are not responsible for their content, practices, or usage. The inclusion of a link to a non-Springreview website does not constitute our endorsement or imply any affiliation with that website or its operators.

It is your responsibility to take necessary precautions to safeguard your systems and data from harmful or destructive content, such as viruses, worms, or Trojan horses, which may be present on these external websites.

We expressly disclaim any liability for damages or harm resulting from your access to or use of non-Springreview websites or webpages linked through our platform.

We recommend reviewing the privacy policies and terms of service of any non-Springreview website you visit, as their practices may differ from ours.

4. Copyright Infringement and DMCA Policy

We value and protect intellectual property rights and expect the same from our users and visitors. If you believe that content available on or linked through Springreview infringes your copyright, you may notify us in compliance with our Digital Millennium Copyright Act (“DMCA”) Policy. Upon receipt of a valid DMCA notice, we will take appropriate action, which may include removing or disabling access to the allegedly infringing material.

We reserve the right to terminate access to our Services for visitors or users who, under appropriate circumstances, are found to repeatedly infringe on the copyrights or other intellectual property rights of Springreview or third parties. In the event of such termination, no refunds will be issued for any fees or payments previously made to Springreview.

For jurisdictions outside the United States, we will respond to copyright infringement notices in accordance with applicable local laws.

5. Intellectual Property

This Agreement does not convey to you any ownership or proprietary interest in Springreview’s intellectual property or that of any third party. All rights, titles, and interests in and to such intellectual property will remain exclusively with Springreview or its licensors.

The trademarks, service marks, graphics, and logos used in connection with Springreview or our Services, including but not limited to ‘Springreview,’ ‘Springreview.com,’ and the Springreview logo, are trademarks or registered trademarks owned by us or our licensors. Similarly, any other trademarks, service marks, graphics, or logos that may appear in connection with our Services are the property of their respective owners.

Your use of our Services does not grant you any right or license to reproduce, distribute, display, or otherwise use any Springreview or third-party trademarks or intellectual property without explicit prior written consent.

6. Changes

Our Services are continually evolving, and as a result, the legal terms governing their use may need to be updated from time to time. We reserve the right to modify these Terms at any moment, at our sole discretion. The most recent version of the Terms will always be available at https://www.springreview.com/terms.

If a change is deemed material, we will provide notice to you, either via the email address linked to your account or through other reasonable communication methods. By continuing to use our Services after the updated Terms become effective, you agree to be bound by the revised Terms.

If you do not agree to the updated Terms, you must stop using our Services. Please note that any disputes that arose before the changes to the Terms will remain subject to the Terms in effect at the time the dispute arose, including any applicable provisions regarding arbitration or dispute resolution.

7. Termination

We reserve the right to terminate your access to all or any portion of our Services at any time, with or without cause, and with or without prior notice, effective immediately. For terminations without cause, we will provide you with at least 14 days' notice unless immediate termination is required for legal or security reasons.

If you wish to terminate this Agreement or your Springreview account, you may do so by ceasing all use of our Services.

Upon termination, certain provisions of this Agreement will remain in effect due to their nature, including but not limited to those addressing ownership rights, warranty disclaimers, indemnification, and limitations of liability. These provisions shall continue to apply regardless of the termination of this Agreement.

8. Disclaimer of Warranties

Our Services are provided on an “as is” and “as available” basis. We, along with our suppliers and licensors, expressly disclaim all warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement of intellectual property rights.

We do not warrant that the Services will be error-free, uninterrupted, or secure, or that any defects will be corrected. You acknowledge that your access to and use of our Services is at your own discretion and risk, and that you assume full responsibility for any damages that may result from your use, including but not limited to damage to your computer systems or data loss resulting from downloads or other interactions with our Services.

9. Jurisdiction and Applicable Law

This Agreement, including its formation, interpretation, and enforcement, shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to this Agreement or the use of our Services shall be subject to the exclusive jurisdiction of the courts located in France. By using our Services, you agree to submit to the personal jurisdiction of these courts for the resolution of any such disputes.

If you are a consumer residing in the European Union, this clause does not limit your right to bring a claim in the courts of your country of residence where such rights are provided under applicable consumer protection laws.

10. Limitation of Liability

To the fullest extent permitted by applicable law, we, along with our suppliers and licensors, shall not be held liable for any damages arising out of or in connection with this Agreement or your use of our Services, whether based on contract, negligence, strict liability, or any other legal or equitable theory, including but not limited to:

  1. Special, incidental, indirect, or consequential damages;
  2. Costs incurred for procuring substitute goods or services;
  3. Interruption of use, loss of data, or corruption of data; or
  4. Any amounts exceeding the total fees paid by you to us under this Agreement during the twelve (12) months immediately preceding the event giving rise to the claim.

Furthermore, we shall not be liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, governmental actions, or technological failures.

This limitation of liability does not apply where prohibited by law, and nothing in this Agreement shall exclude or limit liability for gross negligence, fraud, or intentional misconduct.

11. General Representation and Warranty

By using our Services, you represent and warrant that:

  1. Compliance with Laws: Your use of the Services will comply fully with this Agreement, the Springreview Privacy Policy, and all applicable laws and regulations. This includes, but is not limited to:
    • Local laws in your country, state, city, or other governmental jurisdiction related to online conduct and acceptable content;
    • All applicable laws governing the transmission of technical data exported from your country of residence or any other applicable jurisdiction; and
    • Any specific legal requirements, such as the General Data Protection Regulation (GDPR) for users located in the European Union.
  2. Respect for Intellectual Property Rights: Your use of the Services will not infringe, misappropriate, or otherwise violate the intellectual property rights or other proprietary rights of any third party.
  3. Consequences of Violation: In the event of a breach of these representations, we reserve the right to suspend or terminate your access to the Services immediately, without notice. Additionally, you may be held responsible for any damages or liabilities arising from such a breach.

12. Indemnification

You agree to indemnify and hold harmless Springreview, its affiliates, contractors, licensors, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  1. Your Use of the Services: Any activity conducted through your account or resulting from your use of the Services, whether or not authorized by you;
  2. Violation of the Agreement: Any breach of the terms and conditions set forth in this Agreement;
  3. Third-Party Claims: Any allegation or claim made by a third party that arises due to your use of the Services, including but not limited to claims of intellectual property infringement or misuse of data.

This indemnification obligation shall survive the termination or expiration of this Agreement and your use of the Services.

13. Miscellaneous

This Agreement constitutes the entire understanding between Springreview and you regarding the subject matter addressed herein and supersedes all prior agreements, communications, or understandings, whether oral or written. Modifications to this Agreement may only occur through one of the following methods:

  1. A written amendment signed by an authorized representative of Springreview; or
  2. The publication by us of a revised version of this Agreement on our website, with the revised terms becoming effective upon publication.

If any provision of this Agreement is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision will be construed in a manner that reflects, as closely as possible, the original intent of the parties, and the remaining provisions will remain in full force and effect.

The failure of either party to enforce any provision or exercise any right under this Agreement shall not constitute a waiver of that provision or right, nor will it affect the ability of that party to enforce or exercise it at any time thereafter.

You may assign your rights and obligations under this Agreement to any party that consents to and agrees to be bound by its terms. We reserve the right to assign our rights and obligations under this Agreement without prior notice or condition. This Agreement shall bind and benefit the parties, their successors, and permitted assigns.
